Anthropic seeks to secure 50.1% of voting rights for founders

US-based AI firm Anthropic is seeking shareholder approval for a revised voting rights structure, reports The Information, referencing sources.

The suggested corporate structure would provide CEO Dario Amodei and six co-founders with 50.1% of the voting power; this setup would persist as long as three of them maintain a designated minimum number of shares. Palantir employs a comparable structure.

According to the proposal, Anthropic's founders would obtain a unique class of shares that provides them with joint authority over voting on the majority of corporate issues—however, this does not apply to the election of the board of directors. There are seven seats on the board at present, with one of them unfilled.

Anthropic intends to establish a unique share class for staff, designed to address specific corporate matters in case of a tie vote.

The AI firm is getting ready for an IPO that might turn into one of the biggest in history. Earlier in September, Reuters reported that the offering might occur after the US midterm elections, which are not anticipated to greatly influence the listing.

Anthropic is regarded as a frontrunner in the enterprise AI industry. In May, the startup secured $65 billion, reaching a post-money valuation of $965 billion.
